Iowa Registered Agent Requirements
Iowa Code § 489.115 requires every LLC doing business in Iowa, homegrown or foreign, to designate and continuously maintain a registered agent. Section 489.116 governs changing that appointment. A note on citations: chapter 489 was renumbered effective January 1, 2024, so older articles pointing to § 489.113 or § 489.114 for agent matters are citing the pre-2024 numbering.

The registered agent is the address of record where the state and the courts can always reach your LLC:
- Accepting service of process when the company is sued
- Receiving official notices from the Secretary of State, including biennial report delinquency notices
- Passing legal and state documents to you quickly enough to act on them
The agent's name and registered office address are public in the state's records.
Who May Be Appointed
Under § 489.115, the agent may be any person, meaning an individual or an entity, so long as the agent has a place of business in Iowa. Nothing more exotic is required, but two mechanics matter:
- Consent is built in. The designation in your filing affirms that the named agent has agreed to serve.
- Addresses must line up. The registered office is a street address, not a PO box, and on the state's change form the registered office street address and the agent's business office street address must be identical.
